# Purpose Art Cause Partner Agreement

This agreement has two parts:

1. **Master Agreement** (Articles 1–9). Accepted once when the Cause Partner applies, by a person authorised to represent the organisation. Without this acceptance, the organisation cannot be approved as a Cause Partner.
2. **Campaign Schedule** (Schedule). Confirmed when the Cause Partner accepts a campaign, before the campaign is activated. It sets out the campaign name, the Artist, the number of pieces, the price and the locked revenue share.

Both are accepted electronically on the Purpose website. Purpose keeps the text version, time, account and signatory name.

## Article 1. Parties and Definitions

**Parties:**

- **[PT PERORANGAN NAME]**, a sole-founder limited liability company under Indonesian law, operating the Purpose Art platform ("**Purpose**").
- **The Cause Partner**, a non-profit organisation (foundation or association) or social enterprise whose identity is recorded in its Purpose account, represented by an authorised person who accepts this Agreement electronically ("**Cause Partner**").

**Definitions:**

- **Campaign:** a programme selling one Collection to support the Cause Partner, as set out in the Campaign Schedule.
- **Artist:** the artist who creates the Campaign Artwork and is bound by the Purpose Artist Agreement. For campaigns without an Artist, the artwork is made by Purpose In-House Studio.
- **Collection** and **Piece:** all the unique digital artworks produced for a Campaign, limited in number.
- **Supporter:** a buyer of a Piece. **Collector:** an owner of a Piece.
- **First Sale** and **Resale:** the first sale of a Piece, and later sales by Collectors through Purpose.
- **PIC:** a person appointed by the Cause Partner as contact with Purpose.
- **Recipient Account:** a bank account in Indonesia in the name of the Cause Partner organisation.

## Article 2. Eligibility, Verification and PICs

1. **Eligibility.** The Cause Partner is a non-profit organisation or social enterprise lawfully registered in Indonesia. Social enterprises may join only with Purpose's approval.
2. **Verification.** The Cause Partner provides its legal documents (deed, Ministry of Law approval, organisation tax number) and Recipient Account details. Purpose may verify again when important details change.
3. **PICs.** The Cause Partner appoints at least two PICs and tells Purpose of any change.
4. **Authority.** The person accepting this Agreement warrants that they are authorised to represent and bind the organisation.
5. **Accurate information.** The Cause Partner warrants that all information it provides is true, and promptly tells Purpose of any change.

## Article 3. Purpose's Role and the Nature of Sales

1. **Purpose as agent.** Purpose sells Pieces on the Artist's behalf as agent. Purpose does not buy or own the Pieces.
2. **Sales, not donations.** Supporters buy digital artworks. A Supporter's payment is not a donation to the Cause Partner, and a Campaign is not public fundraising or a collection of money or goods. The Cause Partner must not describe a Campaign as a donation or donation drive.
3. **Cause Partner's share held on its behalf.** Purpose receives Supporters' payments, including the Cause Partner's share. That share is funds held on the Cause Partner's behalf, is not Purpose's revenue, and is recorded separately in Purpose's books.
4. **Curation by Purpose.** Purpose selects the Artist and designs the Campaign to fit the Cause Partner's mission. The Cause Partner does not approve the artwork, but accepts or declines the Campaign as a whole before launch (Article 4.2).
5. **No promise of value.** A Piece is a certificate of ownership of a digital artwork, not an investment product. The Cause Partner must not promise anyone that a Piece will increase in value.

## Article 4. Cause Partner Obligations

1. **Campaign information.** The Cause Partner provides accurate information about its mission, programmes and planned use of funds for the Campaign page.
2. **Accepting a Campaign.** The Cause Partner reviews the Campaign prepared by Purpose and accepts or declines it. A Campaign launches only after the Cause Partner accepts it and confirms the Campaign Schedule.
3. **Promotion.** The Cause Partner promotes the Campaign to its community, supporters and network, following Purpose's communication guidelines.
4. **Ambassadors and influencers.** Any arrangement between the Cause Partner and ambassadors or influencers is the Cause Partner's own affair. Purpose pays no commission or fee for promotion.
5. **Promotional language.** The Cause Partner does not use the words "donation" or "investment", or any promise of profit, when promoting the Campaign.

## Article 5. Name and Logo Licence

1. **Grant of licence.** The Cause Partner grants Purpose a non-exclusive, royalty-free licence to use the Cause Partner's name, logo, photos and programme descriptions on the Purpose platform, Campaign pages, Pieces, Merchandise and Purpose promotional materials.
2. **Term.** The licence lasts for the term of this Agreement, and continues to apply to Campaigns already active and Pieces already in circulation.
3. **Warranty.** The Cause Partner warrants that it has the right to license the materials it provides.
4. **Use by the Cause Partner.** The Cause Partner may use the Purpose name, Campaign page and images of Pieces to promote the Campaign, following Purpose's guidelines.

## Article 6. Revenue Share, Payment, Tax and Use of Funds

1. **Cause Partner's share.** The Cause Partner receives a share of every First Sale and Resale as set out in the Campaign Schedule, plus any share that the Artist or Purpose gives to the Cause Partner. This split is locked when the Campaign is activated and cannot be changed unilaterally.
2. **Merchandise and sublicences.** Merchandise profit and the net proceeds of commercial sublicences go into the Campaign royalty pool and are shared as set out in the Campaign Schedule.
3. **Payment.** Purpose pays the Cause Partner's share in Rupiah to the Recipient Account once a month, no later than the 10th of each month, for all sales whose funds Purpose received in the previous month. Transfer fees are borne by the Cause Partner and deducted from the amount paid.
4. **Tax.** Purpose withholds the taxes it is required to withhold under applicable regulations and provides the withholding slips. The Cause Partner is responsible for its own organisation's tax obligations.
5. **Use of funds.** The Cause Partner uses the funds it receives for its mission and social programmes, as described on the Campaign page.
6. **Impact report.** The Cause Partner gives Purpose a short report on its use of the funds and their impact at least once a year, which Purpose may show to Supporters.
7. **Sales report.** The Cause Partner can see every sale, its share and the payment status in its Purpose account.
8. **No guaranteed income.** The Cause Partner's income depends on sales. Purpose does not guarantee any amount of sales or income.

## Article 7. Reputation, Compliance and Temporary Suspension

1. **Legal compliance.** The Cause Partner carries out its activities in accordance with applicable law, including anti-corruption and anti-money-laundering rules, and does not use the funds for partisan political activity or for anything unlawful.
2. **Notification.** The Cause Partner promptly tells Purpose of any legal case, investigation or issue that could damage the Campaign's reputation.
3. **Temporary suspension.** Purpose may temporarily suspend new sales in a Campaign if there is a suspected breach of this Agreement or a serious reputational risk, with notice and reasons to the Cause Partner. Pieces already sold remain valid.
4. **Payment hold.** If there is a suspected breach of Article 7.1, Purpose may hold payment until the matter is clear, for up to 90 days, with notice to the Cause Partner.

## Article 8. Term and Termination

1. **Term.** The Master Agreement applies from the Cause Partner's acceptance and continues until terminated.
2. **Ordinary termination.** Either party may terminate the Master Agreement with 30 days' prior written notice.
3. **Termination for breach.** Either party may terminate this Agreement immediately if the other party materially breaches it and does not remedy the breach within 14 days of being notified.
4. **Before a Campaign is active.** A Campaign Schedule that is not yet active is cancelled if this Agreement ends.
5. **After a Campaign is active.** For Campaigns that are already active:
    1. Pieces already sold remain valid, and Collectors may still resell them through Purpose;
    2. sales of unsold Pieces and new Merchandise stop within 30 days, unless the parties agree otherwise;
    3. the Cause Partner keeps receiving its share of every sale as set out in the Campaign Schedule, unless this Agreement was terminated because of the Cause Partner's breach of Article 7.1;
    4. in that exceptional case, Purpose may redirect the Cause Partner's share to another non-profit organisation with a similar mission, with notice to the Artist and Collectors.
6. **Surviving provisions.** Articles 3.3, 5.2, 6, 8.5 and 9 survive the end of this Agreement.

## Article 9. Final Provisions

1. **Personal data.** Purpose processes PIC data and organisation data only to perform this Agreement, pay the Cause Partner and meet legal obligations, in accordance with Law No. 27 of 2022 on Personal Data Protection. Supporter data is not shared with the Cause Partner without the Supporter's consent.
2. **Changes.** Purpose may update the Master Agreement with 30 days' notice. Changes do not apply retroactively to Campaign Schedules already confirmed without the Cause Partner's consent.
3. **Governing law.** This Agreement is governed by the laws of the Republic of Indonesia.
4. **Dispute resolution.** Disputes are first settled by amicable discussion within 30 days. If no settlement is reached, the dispute is resolved at the Denpasar District Court.
5. **Language.** This Agreement is made in Indonesian and English. If there is any difference, the Bahasa Indonesia version prevails.
6. **Electronic acceptance.** Agreeing by ticking the consent box and pressing the confirmation button on the Purpose platform is a valid electronic signature under Indonesia's Electronic Information and Transactions Law. Purpose keeps a record of the Agreement version, time, account and signatory name, and the Cause Partner may download a copy at any time.
7. **Severability.** If any provision is invalid, the other provisions remain in force.
